ORDER FOR PROFESSIONAL PHOTOGRAPHIC SERVICES.
FOR EXHIBITION EVENT PHOTOGRAPHY.
TERMS & CONDITIONS TO THIS ORDER.

TERMS & CONDITIONS OF THE ORDER.
It is mutually agreed that the following terms of agreement form an integral part of this order and that no variation or modification of this order shall be effective unless accepted by Pro Vision Photography Ltd in writing. A copy of this order is obtainable upon request.
Stand Photography: PREMIUM & TRADITIONAL SERVICES are charged according to the number of image angles requested or taken. The Client receives 1 finished image per image/angle. If preferred the Client can receive all images “as taken” at no additional charge.
PR PHOTOGRAPHY: Charged according to the photographers time, from the time requested by the Client to arrive until the completion time of the assignment to include any additional services as part of the assignment, such as time to provide images to disc, etc. Attendance cannot be broken up into segments, ie; each separate attendance is a separate attendance whole fee and is not counted as a part of any other.
Proofing Services: Proofs are not offered. If requested at the outset, proofs may be provided with the appropriate additional fee for the additional work/time undertaken to provide this service. Proofing services are “viewing only” and fees start from +25% in additional to any and all other services given. The Client has up to 14 days from its instigation to use this service (normally by FTP website) and forward acknowledgement of any preferred image selections. Thereafter, all image selections are at the discretion of Pro Vision Photography Ltd and the proofing service given is charged regardless of whether the Client decides to utilise it within this period of time or not.
Other/Additional Services: All services are chargeable, whether by per image, time to service or other measurable rates, at the discretion of Pro Vision Photography Ltd. Minor digital image creative and editing services are provided for the standard Stand Photography Service at no additional charge, to include cropping, correction of verticals, colour and density levels. More extensive digital image creative and editing services are charged in addition from £85.00 per hour, pro rata thereafter.
No other services, additions or expectations to such will be undertaken here without an agreement in writing to Pro Vision Photography Ltd.
Images Emailed / or to FTP Images requested to be emailed or uploaded to FTP are charged at a per image rate in addition to all other services. First image @ £25.00, each thereafter at a discounted rate subject to the discretion of Pro Vision Photography Ltd.
Discounts: Any discounts offered or given are based solely on payment in full within the terms of the order (within 30 days). Thereafter discounts will not apply and the full amount without any given discount will be due with the original invoice.
Delivery: Undelivered or faulty goods are to be notified within 5 working days of delivery/expected delivery. Faulty goods/images have to be returned to us on the original disc/material and no copies are to be made. Non faulty images may only be returned at the discretion of Pro Vision Photography Ltd.
Display: The client agrees to allow Pro Vision Photography Ltd to display any photographs covered by this order in their studio, portfolio, internet site, display areas, exhibitions, advertising, press, media, competitions, slide shows or other commercial and marketing uses.
Special Requests/Coverage: The client understands and accepts that the photographic coverage will be as the photographer’s professional expertise determines and that no photograph will be deemed more important than another. Special requests are not a binding instruction, although every effort is made to comply with the client's wishes. Pro Vision Photography Ltd will not be held responsible for the non co-operage/absence of persons or items in our photographs, adverse weather conditions or other circumstances which may influence the outcome of the photography.
The Photographer: On occasions and without notice it may be necessary for the photographer originally specified to be substituted by another photographer. No one photographer will be deemed more important than any other photographer.
Exhibition Event Organisers Photography Assignments: The normal offered service for exhibition event organisers is where possible to portray the event in its best light as a busy, vibrant occasion to visit. Images may include the entrance, aisles, people doing business, networking, product and the rare timed slot. Long lists of required attendance at such places as various numerous seminars is not the normal service we offer. Any discounts offered are strictly based upon being assigned as the Official Photographers to the event by the organisers or their representatives. No other photographers may be allowed by the organisers of the event to seek or advertise for their business interests in relation to the event. It is agreed by you that sufficient time must be allocated to the photographers to undertake our necessary and separate assignments at the event for exhibitors and stand designers and PR agencies to undertake the service we offer as part of being the official photographers to the event. It must be clear that as the official photographers we will also provide the stand and PR photography service to the exhibitors and stand designers. Images may be withheld by us where it is deemed that there may be a conflict of interest with the images use and the images requested to be captured by the event organisers, such as stand photography and any PR events that should normally be separate to the images the event organisers would receive for tis service from Pro Vision Photography Ltd, especially where any discount for our services has been applied. In any such cases the minimum fee of the full chargeable rate for our services, ie: attendance time by photographers and all expenses will be applied to the service given and is essential that it be paid in full within the terms of Pro Vision Photography Ltd. Any losses financially to Pro Vision Photography Ltd due to the use of the images by the event organisers or their representatives which were photographed by Pro Vision Photography Ltd at the event will have to be compensated in full within the terms as set out by Pro Vision Photography Ltd.
Alterations to Assignment Date/Time: Any alteration to the assignment date and/or time may induce a further payment as deemed necessary by Pro Vision Photography Ltd.
Payment Terms: All fees are due to be paid in full by the due date, within at least 30 days of the date of invoice. Payment for all additional work must be paid for in full within the same terms and to be paid for with the initial order and invoice date. Where a payment is unreasonably late any discount that may have been applied can be cancelled and the full list price is required. Pro Vision Photography Ltd may proceed to County Court at its own discretion without notice to the debtor after 60 days. Administration charges may become due in addition to collection costs and professional charges.
Photographers Attendance Fee: £65.00. This fee is due as part of the assignment and may be waivered at the discretion of Pro Vision Photography Ltd upon strict terms of payment of the assignment in full within 30 days of the date of invoice. This fee will especially be due if payment is late or after 30 days, at the discretion of Pro Vision Photography Ltd.
Photographs (Digital & Print): All photograph sizes are nominal. The photographer will provide a pleasing colour balance but cannot guarantee exact colour matching owing to anomalous reflectance caused by a combination of certain dyes and materials, monitors and image end uses, especially man- made materials. It is sometimes impossible to record photographically the exact colour of materials as seen by the human eye, particularly in mixed lighting situations when photographing. Therefore all colour balances are purely perceptional. We use our expertise to edit down as necessary to the best photographs for the final image/images.
Copyright: The 1988 Copyright Design and Patents Act section 77 & 80 assigns the copyright of the photographs taken, to the photographer. It is contrary to the Act and an offence to copy or allow to be copied, the photographs covered by this contract by any means. The images/digital image files remain the property of the photographer. The photographer is employed by Pro Vision Photography Ltd, therefore all images remain the copyright and property of Pro Vision Photography Ltd until paid for in full.
Accreditation: All published photographs/images must, as is reasonably possible, include the following credit within or exactly next to it, clear and legible “www.provisionphoto.co.uk”.
Force Majeure: The due performance of the work detailed above is subject to the photographer's alteration or cancellation owing to any cause beyond his/her control. In the unlikely event of the photographer's cancellation the following will apply:- Arrangements will be made for another photographer of comparable standard to cover the shoot with agreed fees remaining unchanged; if this is not possible a full refund will be given of all monies paid to the date of cancellation.
Insurances: The client shall be responsible for any insurance policy which may be taken out with a reputable insurance provider and to be in force for all circumstances relating to the assignment and services provided for it and the client.
Jurisdiction: This agreement is governed by English Law
In booking Pro Vision Photography Ltd for the photography I hereby assign all the photography at the event to Pro Vision Photography Ltd. I further agree to the provision for payment as outlined above. I agree to the terms of business as set out above.
This in no way affects your Statutory Rights.
